Terms of Service

guidedby is a workflow-coaching service. The desktop application captures workflow signals from your computer (see our Privacy Policy) and produces coaching recommendations using a combination of heuristic analysis and large-language-model inference. The Service is provided as-is and may evolve over time.

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service is currently offered only to residents of the United States. By using the Service, you represent that you reside in, and are accessing the Service from, the United States, and that you are not located in the European Economic Area, the United Kingdom, or Switzerland. We may extend availability to additional regions in the future; this Section will be updated when we do.

You are responsible for keeping your account credentials secure. Notify us immediately if you believe your account has been accessed without your authorization. We may suspend or terminate access at our discretion if we detect activity that violates these Terms or threatens the integrity of the Service.

Subject to your compliance with these Terms, guidedby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the desktop application on devices you own or control, solely to use the Service for your own personal or internal business purposes. The desktop application and the Service are licensed, not sold, and we retain all right, title, and interest in and to the Service, including all related intellectual property rights. The license granted in this Section terminates automatically when you stop using the Service or when these Terms terminate for any reason.

You agree not to:

• Use the Service to violate any law or third-party right.
• Reverse-engineer, decompile, or extract source code from the Service except to the extent permitted by applicable law.
• Attempt to defeat, interfere with, or disable any authentication, rate-limiting, or security mechanism.
• Use the Service to capture data from people who have not consented to being captured by you.
• Resell, sublicense, or commercially redistribute access to the Service.
• Submit content that infringes intellectual property rights or transmits malware or unlawful material.

You retain ownership of the data captured by the desktop application. You grant guidedby a limited, non-exclusive license to process that data solely to operate the Service and produce coaching for you. We do not sell your data, share it with advertisers, or use it to train AI models. See the Privacy Policy for details on storage, retention, and deletion.

Recommendations produced by the Service are generated in part by third-party AI models and are provided for informational purposes. They are not professional advice. You are responsible for evaluating any recommendation before acting on it. The Service may occasionally produce inaccurate or incomplete output.

The Service is currently in private beta. Features may change, be removed, or be temporarily unavailable. We may modify the Service at any time, with reasonable notice for material changes that affect users.

The Service is currently provided at no charge during beta. If we introduce paid plans, we will give you advance notice and allow you to choose whether to subscribe before any charge is applied.

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including the license restrictions, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT COACHING WILL ACHIEVE ANY PARTICULAR OUTCOME.

TO THE FULLEST EXTENT PERMITTED BY LAW, GUIDEDBY AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS OR (B) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless guidedby and its operators from any third-party claim, demand, or expense (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Service, or (c) your violation of any law or third-party right. We will give you prompt notice of any such claim and reasonable cooperation in its defense.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in San Francisco County, California, and you consent to the exclusive jurisdiction of those courts. Nothing in this section limits your rights to bring claims in small-claims court where permitted.

We may update these Terms from time to time. Material changes will be announced via email or in-product notice at least seven days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
